Terms of Service

1. Introduction

Welcome to Government Contracting Authority (GCA). These Terms of Service govern access to gcagov.com and all related services. By accessing or using GCA services, you agree to be bound by these terms in their entirety.

2. Services Description

GCA provides government contracting consultancy services, including:

• Proposal development and strategy
• Capture management and pursuit planning
• Contract administration and compliance
• Training and professional development
• Compliance advisory and regulatory guidance

These services are designed for businesses seeking government contracting opportunities. All services are described in detail in separate Statements of Work (SOW) or Service Agreements.

3. User Accounts

When creating or using an account with GCA:

• You must provide accurate, current, and complete information
• You are responsible for maintaining the confidentiality of your account credentials
• You must notify GCA immediately of any unauthorized access or breach of your account
• You are responsible for all activity on your account

GCA may suspend or terminate accounts that violate these Terms of Service without notice.

4. Intellectual Property

GCA retains all rights to its original content, features, and functionality. All materials, including but not limited to text, graphics, logos, images, audio, and video, are protected by United States and international copyright and intellectual property laws. Reproduction, distribution, or transmission of any GCA content without written consent is strictly prohibited.

5. Client Content

You retain all rights to content you provide to GCA. However, you grant GCA a worldwide, non-exclusive, royalty-free license to use your content solely for the purpose of providing services to you. You represent and warrant that:

• You own or have the right to use all client content
• Your content does not infringe upon any third-party intellectual property rights
• You have obtained all necessary permissions and consents

6. Confidentiality

GCA maintains strict confidentiality of all client information in accordance with industry standards. Clients acknowledge that GCA's methodologies, processes, and approaches are confidential and proprietary. Both GCA and the Client have mutual obligations to maintain confidentiality regarding sensitive business information.

7. Payment Terms

Payment terms are specified in separate Statements of Work or Service Agreements. The following general terms apply:

• All fees are quoted in United States Dollars (USD)
• Fees are non-refundable unless expressly stated in the applicable SOW
• Standard payment terms are Net-30 from invoice date
• Late payments are subject to a monthly late fee of 1.5% of the outstanding balance

8. Limitation of Liability

To the maximum extent permitted by law, GCA's total liability for any and all claims arising out of or relating to these Terms shall not exceed the total fees paid by Client in the twelve (12) months preceding the claim. GCA shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to lost profits, lost revenue, or lost data.

9. Disclaimer of Warranties

GCA services are provided "as is" and "as available" without warranties of any kind, express or implied. GCA does not warrant that:

• Services will be uninterrupted or error-free
• Services will meet your specific requirements
• Any information or content is accurate or complete
• Services will result in winning government contracts

10. Indemnification

You agree to indemnify and hold harmless GCA, its officers, directors, employees, and agents from any and all claims, damages, liabilities, and expenses (including attorney fees) arising from:

• Your use of GCA services
• Any content or information you provide to GCA
• Your violation of these Terms of Service
• Your violation of any applicable laws or regulations

11. Termination

Either party may terminate the engagement with thirty (30) days written notice. GCA may terminate immediately without notice if:

• Client materially breaches these Terms
• Client fails to pay invoices when due
• Client engages in illegal or unethical conduct

Upon termination, all outstanding invoices remain due and payable. Certain provisions shall survive termination, including Intellectual Property, Confidentiality, Limitation of Liability, and Governing Law.

12. Dispute Resolution

In the event of a dispute arising from these Terms or any engagement:

1. Parties shall attempt good faith negotiation for thirty (30) days
2. If unresolved, disputes shall be subject to binding arbitration under the American Arbitration Association (AAA) Commercial Arbitration Rules
3. Arbitration shall be conducted in Sheridan, Wyoming.
4. Class action and jury trial rights are waived

13. Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of Wyoming, United States of America, without regard to its conflicts of law principles. The state and federal courts located in Sheridan County, Wyoming shall have exclusive jurisdiction over any disputes arising from or relating to these Terms.

14. Government Contracting Specific Provisions

For engagements involving government contracting services, the following provisions apply:

1. Compliance with Federal Acquisition Regulation (FAR) and Defense Federal Acquisition Regulation Supplement (DFARS) requirements
2. Controlled Unclassified Information (CUI) handling in accordance with NIST SP 800-171
3. GCA does not guarantee contract awards or specific contract outcomes
4. Services provided are advisory and educational in nature
5. Client remains responsible for all representations made to government agencies

15. Modifications to Terms

GCA reserves the right to modify these Terms of Service at any time. Modifications will be effective immediately upon notice, which may be provided via email, website update, or other reasonable means. Continued use of GCA services following such notice constitutes acceptance of the modified terms.

16. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, or if not possible, severed. The remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms of Service, together with any applicable Statement of Work, Service Agreement, or other written agreement between the parties, constitute the entire agreement and supersede all prior negotiations, understandings, and agreements, whether written or oral.
