Government Contracting Authority provides consulting services related to federal procurement, government contracting strategy, compliance guidance, and business development support. Our Services are designed to help qualified businesses navigate the complex landscape of U.S. government contracting and federal procurement processes.

User Agreements and Responsibilities

Eligibility

You must be at least 18 years of age and have the legal authority to enter into these Terms to use our Services. If you are using the Services on behalf of a business entity, you represent and warrant that you have the authority to bind that entity to these Terms. By using our Services, you represent that all information you provide is accurate, current, and complete.

Account Responsibility

If you create an account with us, you are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account. You are solely responsible for any and all activities conducted through your account. We are not responsible for any loss or damage arising from your failure to protect your account information.

You agree not to misrepresent your business, qualifications, experience, or capabilities. Any false or misleading information may result in immediate termination of our Services and your account.

Compliance with Laws

You agree to comply with all applicable federal, state, and local laws, regulations, and rules in your use of our Services. You specifically agree to comply with all laws and regulations related to government contracting, federal procurement, export controls, and sanctions. You are responsible for ensuring your business practices comply with all applicable legal requirements.

Acceptable Use Policy

You agree that you will not, and will not permit others to, use the Services in any manner that:

  • Violates any applicable law, regulation, or governmental requirement, including but not limited to laws governing government contracting, federal procurement, export controls, and sanctions
  • Infringes upon the intellectual property rights, privacy rights, or other rights of any person or entity
  • Contains false, misleading, defamatory, or fraudulent information or statements
  • Attempts to gain unauthorized access to our systems, networks, or Services
  • Disrupts, interferes with, or degrades the quality of our Services or systems
  • Transmits viruses, malware, or any harmful code or material
  • Engages in harassment, abuse, or threats toward any person or entity
  • Attempts to reverse engineer, decompile, or discover the source code or trade secrets of our Services
  • Violates our intellectual property rights or the intellectual property rights of others
  • Engages in any form of fraud, deception, or dishonest conduct

We reserve the right to monitor your use of the Services and to take any action we deem necessary to enforce these Terms, including suspending or terminating your access to the Services without notice or refund.

Limitation of Liability and Disclaimers

Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS-IS" AND "AS-AVAILABLE" BASIS WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND TITLE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

We do not guarantee that our Services will result in government contract awards, increased business opportunities, or any specific business outcomes. Government contracting is inherently uncertain and subject to numerous factors beyond our control, including but not limited to agency decisions, market conditions, competition, and changes in government priorities and regulations.

Limitation of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL GOVERNMENT CONTRACTING AUTHORITY, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Assumption of Risk

You assume all risks associated with your use of the Services. We are not responsible for any loss, damage, or injury resulting from your reliance on the Services, our advice, or any information provided. Government contracting involves significant business risks and uncertainties. You are solely responsible for evaluating the appropriateness and risks of any government contracting opportunities and for making your own business decisions based on your own analysis and judgment.

Intellectual Property Rights

All content, materials, and intellectual property contained in our Services, including but not limited to text, graphics, logos, images, audio, video, software, and designs, are the exclusive property of Government Contracting Authority or our licensors and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use the Services for your personal, non-commercial use only. You may not reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, or otherwise exploit any content without our prior written consent.

Any materials or documents you provide to us in connection with our Services may be used by us to improve our Services and to develop methodologies and best practices, provided that we maintain the confidentiality of your specific business information and do not disclose your identity without your consent.

Confidentiality

We understand that you may share confidential and proprietary information with us in the course of our engagement. We agree to maintain the confidentiality of such information and will not disclose it to third parties without your prior written consent, except as required by law or court order.

You acknowledge that we may use general methodologies, processes, and knowledge gained from our engagement with you to improve our Services and to serve other clients, provided that such use does not disclose your specific confidential information or competitive strategies.

Indemnification

You agree to indemnify, defend, and hold harmless Government Contracting Authority and its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Services or violation of these Terms
  • Your violation of any applicable law or regulation
  • Your infringement of any third-party intellectual property rights
  • Any false or misleading information you provide to us
  • Your business practices or conduct in connection with government contracting

Termination

We may terminate or suspend your access to our Services at any time, with or without cause, and with or without notice. Termination may result from your violation of these Terms, our policies, or applicable laws, or for any reason at our sole discretion.

Upon termination, your right to use the Services ceases immediately. Any provisions of these Terms that by their nature should survive termination, including but not limited to limitations of liability, indemnification, and confidentiality provisions, shall continue in effect.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States and the state in which Government Contracting Authority is located, without regard to its conflict of law principles.

Any dispute arising out of or relating to these Terms or the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall be conducted in English and shall be held in the location where Government Contracting Authority is located. Each party shall bear its own costs and attorneys' fees, unless the arbitrator determines otherwise.

By agreeing to these Terms, you waive your right to a jury trial and the right to participate in any class action lawsuit against Government Contracting Authority.
